Terms of Service

Please read these terms carefully before using Klavio.

1. Acceptance

These Terms of Service (“Terms”) govern your access to and use of Klavio’s marketplace, creator dashboard, checkout, delivery tooling, and related services (the “Service”). By creating an account, listing a product, publishing content, or making a purchase, you agree to these Terms.

If you use the Service on behalf of a company, you represent that you have authority to bind that company.

2. Accounts

You must provide accurate information and keep your credentials secure. You are responsible for activity under your account. Notify us promptly if you suspect unauthorized access.

We may suspend or terminate accounts that violate these Terms, applicable law, or policies that protect buyers and creators.

3. Marketplace role

Klavio is a marketplace platform that helps sellers list digital products and helps buyers discover, purchase, and access those products. Klavio facilitates checkout, marketplace hosting, delivery and access tooling, and payout tooling.

Unless Klavio is expressly listed as the seller on a checkout or listing, the purchase contract is between the buyer and the seller or creator.

4. Seller responsibilities

Sellers are responsible for product legality, ownership rights, listing accuracy, compatibility statements, delivery quality, buyer support, taxes, and compliance with applicable consumer and commercial laws.

Sellers must only upload and sell content they are authorized to use. Sellers must not bypass Klavio checkout, fees, payout holds, access systems, or policy controls.

Sellers remain responsible for refunds and dispute cooperation, even when Klavio reviews requests under marketplace rules.

5. Buyers and purchases

Buyers should review product descriptions, compatibility requirements, and creator terms before purchase. Digital products may be delivered instantly by email, account library, or direct in-app access.

Nothing in these Terms limits rights buyers may have under applicable consumer law. Buyer confirmation of receipt helps payout review but does not remove statutory rights.

Chargebacks and card disputes can pause or reverse seller payouts while payment providers investigate. Abuse of dispute processes may lead to account restrictions.

6. Fees, deductions, and balances

Klavio may deduct platform fees, payment processing fees, refunds, disputes, chargebacks, tax or withholding amounts where applicable, negative balances, reserves, and other amounts owed under these Terms.

Dashboard balances are estimates until funds are released and settled. Seller payout amounts may change if disputes, refunds, or additional charges arise.

7. Payout eligibility and holds

Buyer funds are collected by the platform first. Sellers may publish and sell before connecting Stripe, but payouts cannot be released until Stripe Connect onboarding is complete and payout-ready.

A payout can become eligible when an order is paid, fulfilment or access delivery is complete, no active refund or dispute blocks release, and the buyer confirms receipt or 7 days pass after fulfilment or purchase.

Eligibility does not guarantee immediate release. Klavio may delay, block, reverse, or offset payouts for fraud or risk checks, disputes, chargebacks, policy violations, unsupported country or currency conditions, incomplete verification, processor review, suspicious activity, or legal obligations.

8. Unclaimed and unpayable seller balances

If a seller has payable funds but has not completed Stripe payout setup, Klavio may continue to hold funds and send setup reminders, including after 30 days.

After 60 days without payout setup, Klavio may restrict the seller from publishing additional paid products until setup is complete.

After 180 days, Klavio may suspend the seller account and handle remaining balances by applying refunds where appropriate, offsetting disputes, chargebacks, processing costs, fees, negative balances, and then handling remaining amounts under applicable unclaimed property, payment network, and legal requirements.

9. Moderation and enforcement

Klavio may reject, remove, limit, or hide listings, restrict features, suspend accounts, ban users, and withhold or offset funds when reasonably necessary for safety, fraud prevention, legal compliance, payment processor requirements, or marketplace integrity.

Moderators and admins may act where they reasonably believe conduct or content creates risk, even if a specific scenario is not listed word-for-word in these Terms.

10. Acceptable use

You must not misuse the Service, scrape protected areas, access other accounts without authorization, interfere with operations, distribute malware, commit fraud, manipulate reviews or purchases, or evade checkout and fees.

11. Disclaimers

The Service is provided on an “as is” and “as available” basis to the fullest extent permitted by law. We do not guarantee uninterrupted availability, specific revenue outcomes, or that every dispute will be resolved in a particular direction.

12. Limitation of liability

To the maximum extent permitted by law, Klavio and its affiliates are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, goodwill, or data arising from use of the Service.

Our aggregate liability for claims relating to the Service is limited to the greater of the platform fees you paid Klavio in the 12 months before the claim, or 100 GBP.

13. Governing law

These Terms are governed by the laws of England and Wales, without regard to conflict-of-law rules, except where mandatory consumer protections in your jurisdiction apply.

You and Klavio agree that courts of that jurisdiction may hear disputes arising from these Terms, subject to any non-waivable rights you have under applicable law.

14. Changes

We may update these Terms from time to time. Material updates are posted on this page with an updated date. Continued use of the Service after changes takes effect means you accept the updated Terms.
